Terms of Service | PropTx Verify

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Cove (“Company,” “we,” “us,” or “our”), governing your access to and use of the PropTx Verify platform, including any associated websites, applications, APIs, and services (collectively, the “Service”).

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years of age and a resident of Canada, or otherwise legally able to enter into contracts under applicable Canadian law, to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Description of Service

PropTx Verify is a tenant screening and verification platform that provides property owners, managers, and real estate professionals with tools to assess prospective tenants. The Service may include, but is not limited to:

Tenant background and identity verification.
Credit and financial assessment reports.
Employment and income verification.
Landlord reference checks.
AI-powered verification calls (Voice AI).
AI-powered report analysis (Chat with Report).
Comprehensive tenant screening reports.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

4. Account Registration

To access certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain and promptly update your account information.
Keep your login credentials confidential and not share them with third parties.
Accept responsibility for all activities that occur under your account.
Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe are being used in violation of these Terms.

5. Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

Use the Service in violation of any applicable federal, provincial, or municipal law or regulation, including but not limited to the Canadian Human Rights Act, provincial human rights codes, and residential tenancy legislation.
Use tenant screening information to discriminate against any person on the basis of race, national or ethnic origin, colour, religion, age, sex, sexual orientation, gender identity or expression, marital status, family status, genetic characteristics, disability, or any other prohibited ground.
Access or use the Service to obtain information for any purpose other than evaluating a prospective tenant in connection with a legitimate rental transaction.
Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service.
Use automated means (bots, scrapers, crawlers) to access or interact with the Service without our prior written consent.
Interfere with or disrupt the integrity or performance of the Service.
Transmit any malware, viruses, or other harmful code through the Service.

6. Fees and Payment

6.1 Pricing

Certain features of the Service are subject to fees. Current pricing is displayed on our website or within the application at the time of purchase. All prices are quoted in Canadian dollars (CAD) unless otherwise indicated.

6.2 Billing

PropTx Verify operates on a credit-based model. Credits are only deducted after a tenant screening report has been fully completed and delivered — no upfront charges apply.

6.3 Taxes

All fees are exclusive of applicable taxes, including the Goods and Services Tax (GST), Harmonized Sales Tax (HST), and Provincial Sales Tax (PST), which will be added to your invoice as required by law.

6.4 Late Payment

Overdue invoices may be subject to interest at a rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend your access to the Service in the event of non-payment.

7. Intellectual Property

The Service, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, is owned by Cove or its licensors and is protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose, subject to these Terms. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service without our prior written consent.

8. Tenant Screening Reports

8.1 Accuracy

While we strive to provide accurate and up-to-date information, tenant screening reports are compiled from third-party data sources and are provided on an “as is” basis. We do not guarantee the accuracy, completeness, or reliability of any information contained in a screening report.

8.2 Compliance

You are solely responsible for ensuring that your use of tenant screening reports complies with all applicable laws, including consumer reporting legislation, provincial residential tenancy acts, and human rights legislation. You agree not to take adverse action against an applicant based solely on a screening report without providing the applicant with an opportunity to review and dispute the information, where required by law.

8.3 Confidentiality

Tenant screening reports contain sensitive personal information. You agree to keep all reports confidential, use them only for their intended purpose, and not disclose them to any unauthorized third party.

9. AI-Powered Features

The Service includes AI-powered features, including Voice AI for automated verification calls and Chat with Report for natural language querying of screening data. You acknowledge that:

AI-generated outputs are provided for informational purposes and should not be the sole basis for any decision.
AI systems may produce inaccurate or incomplete responses.
You are responsible for independently verifying any AI-generated information before acting on it.
Voice AI calls are recorded and processed in accordance with our Privacy Policy and applicable call recording laws.

10. Limitation of Liability

To the maximum extent permitted by applicable Canadian law:

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Cove shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Service.
Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Cove, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the Service.
Your violation of these Terms.
Your violation of any applicable law or regulation.
Your violation of any rights of a third party.
Any decisions made based on information obtained through the Service.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, limitation of liability, indemnification, and governing law.

You may terminate your account at any time by contacting us at help@proptxverify.ca. Termination does not relieve you of any obligation to pay outstanding fees.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the Province of Ontario, Canada.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on this page with a revised “Last updated” date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cove with respect to the Service and supersede all prior or contemporaneous communications, agreements, and understandings, whether written or oral.
